The reason is not your revenue, your website or your passport: it is the registered agent address on the form.<\/p> <p><strong>A registered agent address gets a US business account declined because it is a mailing address, not the physical location federal law requires. The customer identification rule tells banks to collect a &#8220;principal place of business, local office, or other physical location&#8221; for a company, and a registered agent address, a virtual office or a PO box is none of those. The customer identification program (CIP) rule, 31 CFR 1020.220, sets the minimum information a bank must collect before it opens an account. For an individual, the rule asks for a &#8220;residential or business street address&#8221;. For a company, a corporation, a partnership or a trust, it asks for a &#8220;principal place of business, local office, or other physical location&#8221;.<\/p> <p>Read those three terms again: principal place of business, local office, other physical location. A registered agent address is none of them. It is where your state sends legal mail and service of process, and it exists so someone is available to receive that mail. The bank&#8217;s address field is asking a different question: where does this business actually operate? A mailing address cannot answer that, so the application fails on the federal floor before any provider policy is even involved.<\/p> <h2><span class=\"ez-toc-section\" id=\"One_address_three_different_jobs\"><\/span>One address, three different jobs<span class=\"ez-toc-section-end\"><\/span><\/h2> <p>The trap is that &#8220;the address&#8221; is not one field. Providers split it into separate fields that do separate jobs, and the registered agent address is only ever valid in one of them.<\/p> <p>The <strong>legal or registered address<\/strong> is where the entity is formally registered and appears on your formation documents. This field is usually fine to fill with a registered agent address, because it is only recording where legal mail goes.<\/p> <p>The <strong>physical, trading or operating address<\/strong> is where the business actually runs day to day. This is the field the CIP rule cares about, and it is the one that gets declined. Every provider words it slightly differently, but they all ask the same question: where are you and your team really working?<\/p> <p>The decline happens when a founder puts the registered agent address in both fields. Relay states the reason in one clean sentence: a registered agent address &#8220;is only a legal mailing address and does not show where your business actually operates.&#8221; That is the whole mechanism in a line, straight from a provider.<\/p> <h2><span class=\"ez-toc-section\" id=\"What_Mercury_Wise_and_Relay_actually_accept\"><\/span>What Mercury, Wise and Relay actually accept<span class=\"ez-toc-section-end\"><\/span><\/h2> <p>The providers agree on the principle and differ on the details, which is useful: the details tell you what to put in which field. For the physical address it is explicit about what it refuses: a &#8220;P.O. box, virtual address, commercial mail receiving agency, mail center, or registered agent address.&#8221; What it accepts is the useful part: &#8220;a verifiable residential address&#8221; when the company has no office yet, and &#8220;verifiable international addresses&#8221; for overseas customers. A founder in Lisbon running a US LLC can list a real home address and pass.<\/p> <p>Wise splits the question into a registered address and a trading address, and says the trading address &#8220;must be a physical location.&#8221; What it refuses is a PO box, a mail forwarding or receiving service, a virtual office, a solicitor&#8217;s or attorney&#8217;s office, and a business registration agency. But it also says a co-working space is acceptable, and if you work from home it will accept a utility bill or bank statement in your personal name as long as you are the sole trader or a significant owner.<\/p> <p>Relay is the most forgiving on paper, and the contrast makes the mechanism clearer. It accepts the registered agent address as the legal address, including for non-US residents. But it still requires a separate operating address, and its accepted list is blunt: a &#8220;home address, domestic or international&#8221; or a physical office. It rejects the registered agent address, PO boxes and virtual mailboxes for that field. The registered agent address gets a pass in one field and a rejection in the other, which is exactly the distinction this article exists to explain.<\/p> <h2><span class=\"ez-toc-section\" id=\"What_counts_as_a_physical_address_when_you_dont_have_an_office\"><\/span>What counts as a physical address when you don&#8217;t have an office<span class=\"ez-toc-section-end\"><\/span><\/h2> <p>You do not need to rent a US office to clear this check. Three things pass, and they are all things a non-resident founder can actually produce.<\/p> <p>A <strong>residential address<\/strong> is the most common pass. Mercury accepts it explicitly, and Wise will verify it with a utility bill or bank statement in your name. The address can be outside the US for Mercury and Relay: the requirement is that it is real and verifiable, not that it is American.<\/p> <p>A <strong>co-working space<\/strong> passes at Wise, and Mercury accepts a signed lease or an invoice as proof of occupancy. This is the route if you genuinely want a dedicated business location without a full office lease.<\/p> <p>A <strong>physical office or workspace<\/strong> is the straightforward case, and it is what Relay lists as the standard operating address.<\/p> <p>The documents are where applications actually die, and the recency rules are strict. Mercury asks for utility bills, mortgage statements and bank statements from the last 90 days. Wise asks for licences, registration documents, utility bills and bank statements less than 3 months old, and other documents like tax bills less than 12 months old. A document that shows your name, your full address and a recent date is the difference between a decline and a pass.<\/p> <h2><span class=\"ez-toc-section\" id=\"How_to_fix_a_declined_application\"><\/span>How to fix a declined application<span class=\"ez-toc-section-end\"><\/span><\/h2> <p>A decline over the address is one of the more fixable outcomes, because the fix is mechanical: move a real address into the right field and prove it.<\/p> <ul class=\"bs-checklist\"> <li><span class=\"bs-checklist-box\">\u2713<\/span><p><strong>Find the field that failed.<\/strong> Re-read the provider&#8217;s address requirements and check whether the decline was on the legal address or the physical\/operating\/trading address. The registered agent address belongs only in the legal field.<\/p><\/li> <li><span class=\"bs-checklist-box\">\u2713<\/span><p><strong>Put a real address in the physical field.<\/strong> Use your residential address or a co-working space. It can be international at Mercury and Relay; it has to be a physical location everywhere.<\/p><\/li> <li><span class=\"bs-checklist-box\">\u2713<\/span><p><strong>Have a recent document ready.<\/strong> A utility bill or bank statement under 90 days old, in your name or the company&#8217;s name, is what most providers ask for.
